Article 2 – Scope of Application

2.1. These General Terms and Conditions apply to all offers, orders, sales and agreements concluded through the Gryphon Seats webshop.

2.2. By placing an order, the customer confirms that they have read and accepted these General Terms and Conditions.

2.3. These terms apply to both consumers acting for private purposes (B2C) and professional customers acting in the course of their business or professional activities (B2B), unless expressly stated otherwise.

2.4. Any specific written agreement between the Seller and the customer shall take precedence over these General Terms and Conditions to the extent that the provisions are incompatible.

2.5. All mandatory consumer protection provisions remain fully applicable to consumers. Nothing in these terms is intended to exclude or restrict statutory consumer rights.

2.6. The customer’s own general terms and conditions shall not apply unless expressly accepted in writing by the Seller.

Article 3 – Products and Product Information

3.1. Gryphon Seats sells, among other things, gaming chairs, ergonomic office chairs, office seating, accessories and personalised seating solutions.

3.2. Product descriptions, images, specifications and prices are prepared and displayed as accurately as reasonably possible.

3.3. Product images are illustrative. Minor differences in colour, material texture, finish or appearance may occur due to screen settings, manufacturing variations or the characteristics of the materials used. This does not affect the Seller’s obligation to deliver products that conform to the agreement and applicable legal requirements.

3.4. The Seller reserves the right to modify its product range, discontinue products and update product information. Such changes shall not affect confirmed orders, subject to applicable law and any mutually agreed amendments.

3.5. Obvious errors or material inaccuracies in product information or prices shall not bind the Seller where the customer knew, or reasonably should have known, that an error had occurred. In such cases, the Seller shall inform the customer and, where necessary, propose an appropriate solution.

Article 4 – Prices and Taxes

4.1. All prices are displayed in euros (EUR), unless expressly stated otherwise.

4.2. For consumers, applicable taxes, including VAT, and unavoidable additional charges shall be clearly disclosed before the order is placed.

4.3. Prices for professional customers may be displayed excluding VAT where this is clearly indicated. Applicable VAT shall be stated on the invoice.

4.4. Any shipping charges, surcharges or other additional costs shall be disclosed before the customer finally confirms the order.

4.5. The price communicated at the time of the order and accepted by the Seller shall apply to that order.

4.6. Promotions, discount codes and special offers are valid only during the stated period and subject to the conditions published with the offer. Unless otherwise stated, discount codes cannot be combined.

4.7. The Seller reserves the right to change prices for future orders. Such changes shall not apply retroactively to agreements already concluded.

Article 5 – Orders and Formation of the Contract

5.1. Customers may select and order products through the webshop.

5.2. Before placing an order, customers shall have the opportunity to review the selected products, quantities, prices, delivery details and any additional charges.

5.3. Customers are responsible for providing accurate information, including their name, billing address, delivery address, email address and VAT number, where applicable.

5.4. After placing an order, the customer will receive an electronic acknowledgement of receipt. This acknowledgement does not, by itself, necessarily constitute final acceptance of the order by the Seller.

5.5. The contract is concluded when the Seller accepts the order, for example through an express order confirmation or by dispatching the ordered products.

5.6. If an order cannot be fulfilled due to stock shortages, a manifest pricing error, product unavailability or another legitimate reason, the Seller shall inform the customer as soon as reasonably possible. Amounts already paid for an order that will not be fulfilled shall be refunded where the contract is not concluded or is lawfully terminated.

5.7. The Seller may request additional information where reasonably necessary to process the order, prevent fraud or verify the information provided.

Article 6 – Payment

6.1. The payment methods available for an order shall be displayed during checkout.

6.2. Orders must be paid in accordance with the conditions displayed during checkout or stated on the invoice.

6.3. Where online payment is required, order processing shall take place in accordance with the applicable payment and order acceptance procedures.

6.4. Payments are processed through the payment service providers made available on the webshop. Payment data shall be processed in accordance with applicable security and privacy requirements.

6.5. Where a cancellation, withdrawal or refund is valid, the amount due shall be refunded using the original payment method unless otherwise agreed or legally required.

6.6. For business customers expressly authorised to pay by invoice, the payment deadline and conditions stated on the invoice or in the separate agreement shall apply.

6.7. In the event of late payment by a business customer, interest and recovery costs may be charged within the limits of applicable law. For consumers, only amounts and procedures permitted by applicable law shall apply.

Article 7 – Delivery and Performance

7.1. The Seller delivers to the countries made available as delivery destinations on the webshop.

7.2. The estimated delivery time shall be communicated during checkout, in the order confirmation or through separate correspondence.

7.3. Delivery times are indicative unless a binding delivery date has expressly been agreed. Statutory delivery deadlines and remedies applicable to consumers remain unaffected.

7.4. Where no other delivery period has been agreed, the order shall be delivered within the applicable statutory period.

7.5. If delivery is delayed or becomes impossible, the Seller shall inform the customer and respect the customer’s applicable statutory rights.

7.6. Customers must ensure that the delivery address provided is correct and that delivery can reasonably take place at that address.

7.7. If delivery fails because of incorrect address information or because the customer does not accept delivery, the Seller may contact the customer to arrange a new delivery. Additional costs shall only be charged where legally permitted and disclosed in advance.

7.8. In consumer sales, the risk of loss or damage to the products passes to the consumer when the consumer, or a third party designated by the consumer other than the carrier, physically takes possession of the products, subject to applicable statutory exceptions.

7.9. For business customers, the transfer of risk shall be governed by any expressly agreed delivery terms or, in their absence, by applicable law.

7.10. The Seller may make partial deliveries where reasonably appropriate, provided this does not unreasonably disadvantage the customer and applicable legal requirements are respected.

Article 8 – Retention of Title

8.1. To the extent permitted by law, the products remain the property of the Seller until the full purchase price has been paid.

8.2. This retention-of-title provision does not restrict statutory consumer rights.

8.3. For business customers, retention of title shall apply within the limits of applicable law.

Article 9 – Right of Withdrawal for Consumers

9.1. Consumers purchasing products remotely generally have the right to withdraw from the contract without giving a reason within thirty (30) calendar days.

9.2. For products, the withdrawal period generally begins on the day the consumer, or a third party designated by the consumer other than the carrier, physically receives the product. Where several products are delivered separately, the applicable statutory rules determine when the withdrawal period begins.

9.3. To exercise the right of withdrawal, the consumer must inform the Seller unambiguously of their decision before the withdrawal period expires. This may be done by email or by using the model withdrawal form provided by the Seller.

9.4. The consumer may handle and inspect the product to the extent necessary to establish its nature, characteristics and functioning, as would be permitted in a physical shop. If the product is used or handled beyond what is necessary for such inspection, or is damaged, the consumer may be liable for any resulting reduction in value to the extent permitted by law.

9.5. Following withdrawal, the consumer must return or hand over the products without undue delay and no later than fourteen (14) calendar days after communicating the withdrawal, unless the Seller has offered to collect the products.

9.6. The direct costs of returning the products shall be borne by the consumer, provided this was clearly communicated before the contract was concluded. If the products cannot normally be returned by post due to their nature, the consumer shall be informed in advance of the applicable return costs or a reasonable estimate of those costs.

9.7. The Seller shall reimburse the amounts received, including the cost of standard delivery, within fourteen (14) calendar days after being informed of the withdrawal. The Seller may withhold reimbursement until the products have been received back or the consumer has provided evidence of having sent them back, whichever occurs first.

9.8. If the consumer expressly selected a delivery method more expensive than the least expensive standard delivery option offered, the Seller is not required to reimburse the additional cost of that more expensive method, to the extent permitted by law.

Article 10 – Exceptions to the Right of Withdrawal

10.1. The statutory right of withdrawal does not apply to contracts covered by a legally recognised exception.

10.2. In particular, there is no right of withdrawal for products made to the consumer’s specifications or clearly personalised for a particular person.

10.3. For Gryphon Seats, this may include chairs customised at the customer’s request with a personal logo, company name, team name, specific printing, a special colour combination or other individual personalisation, provided the product genuinely falls within the applicable legal exception for made-to-order or clearly personalised goods.

10.4. The exception for personalised products does not automatically apply to every product manufactured or ordered after a customer places an order. The legal requirements for the exception must be satisfied.

10.5. Where a product falls within an exception to the right of withdrawal, the consumer shall be clearly informed before placing the order.

10.6. The absence of a right of withdrawal does not affect statutory warranty rights or the consumer’s rights where a product is defective, damaged or does not conform to the contract.

Article 11 – Returns Procedure

11.1. Customers wishing to return a product are requested to contact the Seller in advance at hello@gryphonseats.com, stating their order number and, where applicable, the reason for the return.

11.2. The Seller shall provide the customer with practical return instructions and the applicable return address.

11.3. Products must be packaged carefully to prevent transport damage. Where reasonably possible, the original packaging should be used.

11.4. Customers are requested to return all supplied components, accessories and documentation.

11.5. The Seller may refuse a return where no statutory or contractual right to return exists. This does not affect any mandatory statutory rights of consumers.

11.6. The returns procedure does not restrict the statutory right of withdrawal or the customer’s rights in respect of defective or non-conforming products.

Article 12 – Legal Guarantee and Conformity

12.1. Consumers benefit from the statutory conformity guarantee applicable to their purchase.

12.2. For new consumer goods, the statutory guarantee period in Belgium is generally two (2) years from delivery.

12.3. The statutory guarantee covers lack of conformity falling within the scope of applicable law. It applies to qualifying defects that existed at the time of delivery and become apparent within the applicable guarantee period, subject to the relevant statutory rules and any applicable presumptions.

12.4. If a product does not conform to the contract, the consumer may be entitled to repair or replacement and, where the applicable legal conditions are met, a price reduction or termination of the contract.

12.5. The appropriate remedy shall be determined in accordance with applicable law, including the rules concerning feasibility, proportionality, timing and inconvenience to the consumer.

12.6. The statutory guarantee does not exclude any additional commercial guarantee expressly offered by the Seller or manufacturer. Any commercial guarantee shall apply under its stated conditions and shall not reduce statutory consumer rights.

12.7. The statutory guarantee does not automatically cover damage caused by misuse, accidents, improper assembly contrary to the supplied instructions, unauthorised modifications, failure to follow reasonable maintenance instructions or normal wear and tear, to the extent permitted by law. The Seller shall not rely on these exclusions to deny a claim that is covered by the statutory guarantee.

12.8. Customers who believe a product is defective or non-conforming should contact hello@gryphonseats.com, providing their order number, a description of the issue and, where useful, photographs or other supporting information.

12.9. For business customers, warranty and conformity claims shall be governed by applicable law and any expressly agreed contractual warranty conditions. Statutory consumer protections do not automatically apply to business-to-business purchases.

Article 13 – Complaints and Customer Service

13.1. Customers may submit questions, complaints or requests for assistance to:

Email: hello@gryphonseats.com

Postal address: Gryphon Seats – Chemin de Mons à Gand 125 – 7860 Lessines – Belgium

13.2. The customer should include their name, order number and a clear description of the issue to enable the Seller to investigate it efficiently.

13.3. The Seller shall make reasonable efforts to acknowledge and resolve complaints within a reasonable period.

13.4. Customers are encouraged to report visible transport damage or missing items as soon as reasonably possible. However, failure to report such matters immediately shall not automatically deprive consumers of statutory rights.

13.5. The submission of a complaint does not suspend or replace any statutory deadlines unless provided for by applicable law.

Article 14 – Personalised Products and Business Orders

14.1. Gryphon Seats may offer personalised products for companies, esports organisations, gaming venues and other professional customers.

14.2. The customer is responsible for ensuring that all personalisation instructions, including logos, names, colours, artwork and other supplied materials, are accurate and complete.

14.3. Before production, the Seller may provide a design proof or mock-up for approval. Where approval is requested, the customer is responsible for carefully checking the submitted design before confirming it.

14.4. Any changes requested after approval may affect the price and delivery time and may require a new written agreement.

14.5. Unless otherwise agreed in writing, the customer warrants that they have the necessary rights, licences and permissions to use any logos, trademarks, images, names or other materials supplied for personalisation.

14.6. The customer shall not provide materials that infringe third-party intellectual property rights or applicable law. The Seller may refuse to produce materials that it reasonably considers unlawful or infringing.

14.7. For business orders involving multiple chairs, special colours, branded products or customised specifications, the quotation and written order confirmation may contain additional terms concerning quantities, payment milestones, production approval, delivery and cancellation.

14.8. For personalised goods, cancellation and withdrawal rights shall be determined by applicable law and the specific terms agreed before production. Any applicable statutory consumer rights remain unaffected.

14.9. The customer must notify the Seller promptly of any discrepancy between the approved design and the delivered products. The Seller remains responsible for contractual non-conformity in accordance with applicable law.

Article 15 – Intellectual Property

15.1. All intellectual property rights relating to the Gryphon Seats name, logo, branding, website content, product descriptions, graphics, photographs, videos and other materials published on the webshop belong to the Seller or its licensors, unless otherwise indicated.

15.2. Such materials may not be copied, reproduced, distributed, modified or used commercially without prior written permission from the relevant rights holder, except where permitted by law.

15.3. The purchase of a product does not transfer any intellectual property rights in the product design, branding, logo or associated materials unless expressly agreed in writing.

15.4. Any intellectual property rights in customer-supplied materials remain subject to the rights of their respective owners. The customer grants the Seller only the permissions reasonably necessary to fulfil the order, unless a broader licence is expressly agreed.

Article 16 – Liability

16.1. The Seller shall perform its contractual obligations with reasonable care and in accordance with applicable law.

16.2. Nothing in these terms excludes or limits liability where such exclusion or limitation is prohibited by law.

16.3. In particular, these terms do not exclude or limit liability for fraud, wilful misconduct, or any other liability that cannot lawfully be excluded or limited.

16.4. For consumers, the Seller’s liability remains subject to all mandatory statutory protections and applicable consumer law.

16.5. For business customers, the extent of the Seller’s liability shall be determined by applicable law and any valid, expressly agreed contractual limitations.

16.6. The Seller shall not be responsible for a failure to perform to the extent that such failure is directly caused by circumstances for which the Seller is not legally responsible, subject to the provisions on force majeure and applicable mandatory law.

Article 17 – Force Majeure

17.1. Neither party shall be held responsible for a failure to perform an obligation to the extent that performance is prevented by an event qualifying as force majeure under applicable law.

17.2. Such events may include, where they meet the applicable legal criteria, natural disasters, fire, war, serious disruptions to transport, government measures, widespread telecommunications or power outages, and significant disruptions affecting suppliers or logistics providers.

17.3. The affected party shall inform the other party within a reasonable period and take reasonable steps to limit the consequences.

17.4. If the event continues for an extended period, the parties shall seek a reasonable solution. Any right to suspend, terminate or obtain a refund shall be determined by applicable law and the terms of the agreement.

Article 18 – Privacy and Personal Data

18.1. The Seller processes personal data in accordance with applicable data protection legislation, including the General Data Protection Regulation (GDPR), where applicable.

18.2. Personal data may be processed for purposes including order management, payment processing, delivery, customer service, legal and accounting obligations, fraud prevention and, where permitted, marketing.

18.3. Personal data shall be shared with third parties only where necessary for legitimate business purposes, contractual performance, legal compliance or another lawful basis. Such parties may include payment providers, carriers, hosting providers and technical service providers.

18.4. Further information about the categories of data processed, legal bases, retention periods, recipients and the rights of data subjects is provided in the Gryphon Seats Privacy Policy.

18.5. Marketing communications shall be sent in accordance with applicable law. Where consent is required, the customer may withdraw it at any time.

18.6. The Privacy Policy forms a separate document and should be consulted alongside these General Terms and Conditions.

Article 19 – Security and Fraud Prevention

19.1. The Seller may implement reasonable measures to protect the webshop, payment processes and customer accounts against fraud, abuse and unauthorised access.

19.2. Where there are reasonable indications of fraudulent activity or material inaccuracies in an order, the Seller may request additional verification before processing it, subject to applicable law.

19.3. Any refusal, suspension or cancellation of an order must comply with the applicable contract and legal requirements.

Article 20 – Applicable Law and Jurisdiction

20.1. These General Terms and Conditions are governed by Belgian law, without prejudice to mandatory provisions of consumer protection law that apply to the customer.

20.2. Where the customer is a consumer residing in another country, the choice of Belgian law shall not deprive that consumer of the protection afforded by mandatory provisions of the law that would otherwise apply under the relevant conflict-of-law rules.

20.3. Any dispute shall be submitted to the competent courts determined under applicable law.

20.4. Nothing in this article prevents consumers from bringing proceedings before a court that has jurisdiction under the applicable consumer protection rules.

20.5. Where appropriate, the parties are encouraged to seek an amicable solution before commencing legal proceedings.

Article 21 – Amendments to These Terms

21.1. The Seller reserves the right to update these General Terms and Conditions to reflect changes in its business, products, services or applicable legislation.

21.2. The version applicable to an order is the version in force when the contract is concluded, unless a subsequent change applies by law or is validly agreed between the parties.

21.3. The current version shall be published on the Gryphon Seats website with its effective or last-updated date.

Article 22 – Severability

22.1. If any provision of these General Terms and Conditions is found to be invalid, unlawful or unenforceable, the remaining provisions shall remain in force to the extent permitted by law.

22.2. The invalid provision shall be interpreted or replaced, where legally possible, by a valid provision that most closely reflects its original purpose without infringing mandatory legal requirements.
